Archway’s Grant Program Terms and Conditions

These Terms and Conditions (these “Terms”)  are entered into by and between Archway Foundation and its affiliates ("Archway" "we", “our”, or “us” etc)  and you as an applicant (“you” “your” or the “Participant”) for a grant under the Archway Grants Program (the “Program”)  (each also a "Party" and together the "Parties"). Please read these Terms carefully. By submitting a grant application you confirm to have read and agreed on these Terms.

These Terms and any application requirements, criteria or guidance relating to the Program may be amended and/or updated from time to time.

  1. Grant Program & Purpose
    1. Archway will provide financial support for committed builders and developers who are creating core tooling, applications, research, community resources, educational materials, and other initiatives that advance the Archway ecosystem. (“Grants”).
    2. Grants are subject to the Approval of Archway Grant’s committee (“Grants Committee”) and the completion of any agreed upon milestones or conditions as indicated in these Terms and the final agreement (“Grant Agreement”) to be entered into between the Parties. These Terms, the Program and the Grant Agreement together with all its Schedules and Annexures, will form an entire agreement.
    3. The Grant Committee reserves all right, in its sole discretion, to accept or reject an application, for any reason or no reason. In the event that Participant disagrees with any of these Terms or any decision made by Archway or the Grant Committee, Participant should not submit an application.
  2. Eligibility

To be eligible to participate in the Program and receive a Grant, you must meet the following conditions:

  1. a) be a citizen or resident of a country in which participation in the Program is permitted; b) be 18 years old or older;
  2. not be a citizen of, or resident in or located in, or incorporated or otherwise listed on any of the following lists (each a Sanctions List): the Consolidated United Nations Security Council Sanctions List; the Specially Designated Nationals and Blocked Persons List or the Sectoral Sanctions Identification List maintained by the US Office of Foreign Assets Control (OFAC); the Consolidated List of Persons, Groups and Entities subject to EU Financial Sanctions; the Consolidated List of Financial Sanctions Targets or List of persons subject to restrictive measures in view of Russia's actions destabilizing the situation in Ukraine, maintained by the UK Treasury;
  3. located in, resident in or incorporated under the laws of (as applicable) Syria, Iran, Cuba, Crimea or North Korea, or any other country or territory which becomes the target of such comprehensive, country-wide or territory-wide Sanctions (as defined below) as currently apply to the aforementioned territories; or
  4. the target of any sanctions laws, regulations, embargoes or restrictive measures (Sanctions), as amended from time to time, administered, enacted or enforced by: the United Nations, the United States, the European Union or any Member State thereof, the United Kingdom or the respective Governmental Authorities and agencies of any of the foregoing responsible for administering, enacting or enforcing Sanctions, including without limitation, OFAC, the US Department of State, the United Kingdom Treasury or the SECO (Sanctions Authority).
  5. Pass Archway’s compliance programs parameters such Anti-Money Laundering, Know Your Customer and/or Know Your Business requirements.
  6. Verification of Participant and Data Privacy

By participating in the Program, you agree to Archway collecting and disclosing your personal information to our service providers for the purpose of managing your participation in the Program, including verifying your identity to ensure you meet the eligibility criteria. Any processing of your personal information will be made in accordance with Archway’s Privacy Policy available at https://archway.io/privacy.

You agree and consent to receive electronically all communications, agreements, documents, notices,and disclosures (collectively, “Communications”) that we provide in connection with your participation in the Program.

Archway reserves the right to reject an application and/or require the termination or refund of any Grant if the Participant is unable to meet and maintain the eligibility criteria.

  1. Application Process
    1. Application. The Grant Program is open to individuals and entities that have submitted a Grant Application via the application form available at https://airtable.com/shrA2rWn9h9eYRfJQ.
    2. Prior to your application being accepted or rejected, Archway may invite you to participate in an interview with members of the Grants Committee to learn more about your application and/or to communicate additional details of the Program. You agree to follow all requirements as set forth in the Program and in further instructions that may be provided to you by Archway or the Grants Committee from time to time.
    3. Final Review. After the interview is complete, you will be informed of your acceptance or rejection in the Program. If accepted, the Parties will work together to define the milestones and deliverables prior to executing the Grant Agreement.
    4. Additional Requirements. Archway may request additional information from you as may be necessary to review and/or consider your application, and you must respond to any requests for additional information within five (5) business days from the time the request is made. Your participation in the Program may terminate in the event (i) Archway or the Grant Committee is unable to contact you or your designated representative within five (5) business days of first attempted notification, or (ii) you fail to respond within five (5) business days of notification.
  2. Payment

Subject to these Terms, as Participant’s sole compensation for its participation and completion of the defined milestones, Archway shall pay Participant the Grants in the form of fiat currency, Archway’s native token (ARCH), USDC or other stablecoin set forth in the Grant Agreement.

Participants will otherwise perform the work in connection with the Program at his or her own expense, and using his or her own resources and equipment. Participant acknowledges that Archway’s consideration of the application for participation in the Program is Participant’s entire compensation with respect to these Terms and Archway will have no other obligation for any other compensation to or expenses or costs incurred by Participant in connection with the performance of his/her obligations under these Terms.

THE GRANT OF ANY TOKENS TO PARTICIPANTS IS SUBJECT TO COMPLIANCE WITH APPLICABLE LAWS, AS DETERMINED BY ARCHWAY IN ITS SOLE DISCRETION. PARTICIPANTS LOCATED IN, RESIDENTS OF OR DOMICILED IN THE UNITED STATES ARE NOT ELIGIBLE TO RECEIVE ARCH TOKENS.
